GovCon Desk Terms of Service
Effective October 12, 2026
These Terms of Service ("Terms") are an agreement between you and Gnosis Concepts Inc. ("GCI," "we," "us"), a service-disabled veteran-owned small business in San Antonio, Texas. They cover your use of GovCon Desk at govcon-desk.com, including opportunity search and fit scoring, the bid inbox, proposal tools and the AI red team, outreach email to government buyers, contract tracking, and the AI assistant (together, the "Service").
By signing up for an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't sign up, sign in or use the Service. If you use the Service for a business or other organization, you confirm that you have authority to accept these Terms for it, and "you" includes that organization.
1. Who can use GovCon Desk
- You must be at least 18 years old and able to enter a binding contract.
- The Service is for businesses and the people who work for them, not for personal, family or household purposes.
- You may not use the Service if U.S. law bars you from receiving it.
2. The Service
GovCon Desk helps small businesses find and pursue government contracts. It searches SAM.gov, reads state, county and city bid alerts that arrive at your workspace's bid inbox, scores how well each opportunity fits you, supports bid / no-bid decisions, builds compliance matrices and proposal drafts, runs an AI red-team review, looks up past awards and labor rates, sends approved outreach email to contracting officers and small business specialists, watches tracked SAM.gov notices for changes, and tracks contracts after award. It includes an AI assistant ("Charis").
GovCon Desk helps you prepare. It does not submit proposals or bids for you, and it does not guarantee eligibility, a set-aside, an award or any amount of business.
Not legal, contracting or procurement advice. Fit scores, bid / no-bid scores, compliance matrices, red-team findings, pricing tools, market research and Charis's answers are decision aids. They are not legal, contracting, procurement, accounting or tax advice, and they don't replace reading the solicitation or getting professional advice when you need it.
Early access. GovCon Desk is in early access. Features may change, be added or be removed, and the Service may have errors or interruptions. We will tell you in advance about changes that materially reduce what you pay for.
Not a government service. GovCon Desk is an independent product. It is not affiliated with, endorsed by or operated for SAM.gov, the General Services Administration, the Small Business Administration, USAspending.gov, any state or local procurement portal, or any government agency.
3. Accounts and workspaces
- Keep your sign-in details confidential, and tell us right away at info@agilegnosis.com if you think your account has been used without permission.
- Your company's information lives in a workspace. Everything in a workspace is visible to every member of it, except general Charis conversations, which only the person who had them can see. Charis conversations tied to a proposal are shared with the workspace.
- Owners and admins decide who is invited and what role each person has (admin, member or viewer), and they control the company profile, email settings, template approval and automatic sending. You are responsible for the people you invite and for what they do in your workspace.
- Give us accurate account information and keep it current.
4. Fees and billing
- Subscriptions. GovCon Desk plans (Starter $79, Pro $149 and Team $399 a month, or ten times the monthly price billed yearly) are bought at agilegnosis.com. Stripe bills in advance each month or year, and the plan renews automatically until you cancel. Each plan has the limits shown on its plan page, such as workspaces, people and monthly AI use. The founding offer gives you Pro for $79 a month for your first 12 months; after that Pro's list price applies, or you can switch to Starter. Founding seats bought before October 13, 2026 keep their $79 rate for as long as that subscription stays active. If you cancel and come back later, current pricing applies.
- Cancelling. You can cancel at any time by emailing info@agilegnosis.com or replying to your welcome email. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- AI request packs. Owners and admins can buy extra AI requests as one-time purchases through Stripe Checkout. The price is shown before you pay. Purchased requests belong to the workspace, are shared by its members, are used only after your plan's monthly AI requests or a daily limit run out, and don't expire while the workspace exists. If the AI service fails before answering, the request is returned to your balance automatically.
- Refunds. Subscription fees are not refundable, including for partly used months, except where the law requires a refund or we charged you in error. An AI request pack is not refundable once any of its requests have been used. If you haven't used any requests from a pack, you can ask for a refund within 30 days of buying it. If you were charged in error, email us within 60 days and we will make it right.
- Price changes. We will give you at least 30 days' notice before a price change applies to an existing subscription.
- Taxes. Prices don't include taxes. You are responsible for any taxes that apply.
5. Your content
"Your Content" is everything you or your workspace put into the Service: company profile, certifications, NAICS codes, past performance, opportunities, solicitations and proposal text, pricing, contracts, contact lists, email templates and sequences, messages sent through the Service, bid inbox emails, notes and chat history.
- You own Your Content. We claim no ownership of it.
- Our limited license. You let us host, copy, process, transmit and display Your Content only to run, secure and support the Service for you, including sending it to the service providers listed in our Privacy Policy (for example, our AI provider to draft a section or read a bid alert, and our email provider to send an approved email).
- We don't sell Your Content or use it for advertising. We don't use it to train AI models of our own.
- Your responsibility. You confirm that you have the rights needed to upload Your Content, including solicitations, documents and any contact lists you import.
6. AI features
The Service uses artificial intelligence to read solicitations and bid alert emails, extract requirements and dates, suggest bid / no-bid scores, draft proposal sections, emails, templates and capability statements, review proposals as a red team, write outreach plans, and answer questions.
- Review everything. AI output, fit scores and bid / no-bid scores can be wrong, incomplete or out of date. Red-team ratings are an estimate, not how a real evaluation board will score you. Confirm every requirement, deadline, evaluation factor, price and clause against the solicitation and its amendments. You are responsible for reviewing and approving everything you submit or send.
- Missing facts. The AI is told not to invent facts and to mark missing information with an "INSERT" placeholder. It can still make mistakes. Remove every placeholder and check every statement before you submit.
- Usage limits. Your plan's limits, shown in the app under Company → AI usage, set how many AI requests are included each billing month and how many each person may use in any 24-hour period, whether the most advanced AI model is included (and how many requests it counts as), how many people and workspaces the plan covers, and how many bid inbox emails are read each day. Each workspace also has a daily safety limit on AI requests. When a long answer is finished in several parts, the extra parts don't count, up to a reasonable number per request. Very large requests may be refused. Reading bid inbox emails doesn't count toward the AI request limits. Past an included limit you can use purchased requests. We may change the included limits with notice in the app.
- Not professional advice. See section 2.
7. Outreach email
GovCon Desk can send email to contracting officers, small business specialists and other government contacts on your behalf, from email templates and sequences your workspace approves.
- You are the sender. Outreach email is sent in your company's name, from an address on your own verified domain, with replies going to the address you choose. You are responsible for its content and for complying with the CAN-SPAM Act, other laws that apply, and each agency's rules on contacting its staff.
- Your settings. Only owners and admins can approve templates and sequences or turn on automatic sending. Editing an approved template or sequence sends it back to draft. You must keep a valid postal mailing address in your email settings; the Service adds it, with an unsubscribe link, to every outreach email.
- Opt-outs. Every outreach email includes a one-click unsubscribe. When a recipient unsubscribes, replies asking to be removed, or marks your email as spam, the Service stops further outreach to that person from your workspace. You must not try to get around an opt-out, including by re-adding the person or emailing them some other way through the Service. Bounced addresses are also stopped.
- Procurement integrity. Once a solicitation is released, communicate about it only through the contracting officer named in it. The Service pauses outreach to contacts named on open solicitations, but you remain responsible for following the rules.
- Sending limits. Each workspace has a daily sending limit, which you can set up to your plan's limit shown in the app, and a send window. We may lower limits or pause sending to protect deliverability or respond to complaints.
8. Acceptable use
You agree not to:
- break any law or regulation, any solicitation's instructions, or any agency's rules;
- send spam or bulk unsolicited email, send email that is false or misleading, or email anyone who has opted out;
- misrepresent your company's size, socioeconomic status (such as SDVOSB, VOSB, 8(a), HUBZone, WOSB, HUB, MBE or SBE), certifications, past performance or capabilities, to an agency or anyone else;
- use the Service, or any tool connected to it, to scrape or automate access to a procurement portal or website that forbids it;
- upload material you have no right to share, or malware;
- try to probe, scan or break the security of the Service or another workspace's data;
- overload the Service or get around its limits or access controls;
- copy, resell or rebuild the Service, or scrape it, except for exporting Your Content; or
- use the Service to build a competing product.
We may suspend access or sending that violates this section or puts the Service, other customers or third parties at risk. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
9. Your registrations and representations
You are responsible for the accuracy of your SAM.gov registration, UEI and CAGE code, size and socioeconomic representations, certifications, and every representation, certification and price you give an agency. GovCon Desk can fill your profile from SAM.gov and remind you of renewals, but it does not check that your registration or certifications are current or correct.
10. Government data and third parties
Opportunity, award, labor-rate and contact information comes from public sources such as SAM.gov, USAspending.gov and GSA, and from bid alert emails sent to your bid inbox by portals and agencies. We pass this information along as-is. Notices, amendments, deadlines and contacts change, and our checks for updates run on a schedule, so confirm everything with the official source before you rely on it. Third-party sites and portals we link to have their own terms, and we aren't responsible for them. GovCon Desk does not scrape state or local procurement portals; you choose which portals send alerts to your bid inbox.
Your SAM.gov API key. SAM.gov search, notice tracking and contact sourcing use your workspace's own SAM.gov Public API Key, which an owner or admin adds in Company → SAM.gov API key. The key is issued to you by SAM.gov, and your use of it is governed by SAM.gov's terms and request limits, which you are responsible for following. SAM.gov keys expire periodically; these features stop working until you add a current key. We check the key with SAM.gov when you save it, store it encrypted, use it only for your workspace and never show it again. Removing it from the app deletes our copy.
11. Our property
The Service, including its software, design, scoring methods, prompts and trademarks, belongs to Gnosis Concepts Inc. and its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms while your account is active. If you send us feedback or suggestions, we may use them without any obligation to you.
12. Ending your account
- You can stop using the Service at any time. To close your account or delete a workspace, email info@agilegnosis.com from the account's email address. We will handle it as described in our Privacy Policy. You can export your contacts and download proposals and reports before you go.
- We may suspend or end your access if you materially breach these Terms, if your payment fails and isn't fixed within 14 days, or if the law requires it. If we discontinue the Service, we will give you at least 30 days' notice and a chance to export Your Content.
- Sections 4 (amounts owed), 5, 6, 7, 9, 11 and 13 through 16 continue after your account ends.
13. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't warrant that the Service will be uninterrupted or error-free, that opportunity, award, contact or AI-generated information will be accurate or complete, that email will be delivered, or that using the Service will win you any contract.
14. Limitation of liability
To the fullest extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, contracts, awards or data, even if told they were possible; and
- our total liability for all claims about the Service is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) $100.
These limits don't apply to your payment obligations, to either party's fraud or willful misconduct, or where the law doesn't allow them.
15. Indemnity
You will defend and indemnify Gnosis Concepts Inc. against third-party claims, and the resulting losses and reasonable legal fees, that arise from Your Content, from email sent from your workspace, from proposals, bids or representations you submit, or from your violation of these Terms or the law.
16. Disputes and governing law
- Texas law governs these Terms, without regard to conflict-of-law rules.
- If a dispute comes up, email us first at info@agilegnosis.com, and we will both try in good faith to resolve it within 30 days.
- If we can't, the state and federal courts in Bexar County, Texas have exclusive jurisdiction, and both parties consent to them. Either party may still seek urgent court relief to protect its property or data.
17. Changes to these Terms
We may update these Terms. If a change is material, we will tell you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms. If you don't agree, you can cancel before then.
18. General
These Terms and the Privacy Policy are the whole agreement about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a right isn't a waiver of it. You may not transfer these Terms without our consent; we may transfer them in a merger, acquisition or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
